VP Legal, Corporate and ESG

Exciting new role with our Legal team leading Environmental, Social and Governance Program.

Your role at Dynatrace

Reporting into the General Counsel, with frequent, meaningful interactions with executive management and the Board of Directors, you will provide in-depth counsel and legal advice on corporate matters including, corporate governance, SEC filings and investor communications.  In addition, you will be working across the organization and be responsible for our global Environmental, Social and Governance (ESG) program, including setting and driving ESG strategy and being responsible for ESG reporting and communications.

You will: 

  • Serve as a key member of the senior legal team in identifying emerging governance issues, setting strategy for the governance program, and leading broader department initiatives. 

  • Handle corporate governance matters, including assisting in the preparation of materials for board and committee meetings, overseeing the maintenance of corporate minutes and records. 

  • Ensure compliance with applicable corporate governance requirements and best practices. 

  • Ensure compliance with applicable securities regulations; oversee the preparation of SEC filings, including the Company’s proxy statement. Review 10-Qs, 10-Ks, earnings materials and other investor presentations; prepare 8-Ks.  

  • Oversee conduct of the Annual Meeting of Stockholders.  

  • Own all securities-related policies and procedures. 

  • Advise on public disclosure obligations 

  • Manage compliance with Regulation FD and NYSE requirements

  • Collaborate with investor relations/corporate communications and senior management on preparation and review of press releases, social media posts and other external communications. 

  • Collaborate with investor relations/corporate communications, other stakeholders and the board on stockholder engagement; coordinate preparation for interactions with large stockholders regarding various governance matters, including but not limited to ESG matters. 

  • Advise and support the Finance and Treasury teams. Partner with Treasury team on corporate finance and insurance matters, including D&O insurance.  

  • Advise and provide support for tax-related matters, including international tax planning and management of global corporate entities. 

  • Drive global ESG strategy and internal ESG program. 

  • Responsible for all ESG-related communications and inquiries;  

  • Perform legal review of all ESG reporting, including ESG-related disclosures 

  • Advise on current and emerging ESG regulations and integrated sustainability reporting requirements 

  • Liaise across internal teams responsible for ESG matters, including colleagues across the enterprise with responsibility for matters that impact ESG reporting 

  • Drive internal processes and practices to support ESG-related governance requirements and expectations 

  • Communicate with a variety of internal and external stakeholders, including Board of Directors, industry groups, rating agencies, and others regarding ESG matters 

  • Drive development of internal processes to meet third-party assurance and verification requirements regarding ESG matters 

  • Serve as a subject matter expert on legal and regulatory ESG issues, staying current on regulatory and policy developments impacting ESG reporting 

  • Provide strategic, practical legal advice regarding ESG issues,  

What will help you succeed

To be successful in this role you will: 

  • Have a Juris Doctorate from an ABA-accredited law school, and 15 years experience over law firm and corporate counsel roles 

  • Have experience in both a large law firm and publicly-traded corporation, preferably in the tech sector 

  • Have extensive experience in the preparation and review of SEC disclosure documents and filings 

  • Have experience driving ESG programs and for ESG reporting and development of related measurement frameworks 

  • Be able to leverage business judgment assessing legal risk while thinking strategically and providing practical advice 

  • Enjoy advising and presenting to executive teams, Boards of Directors, and committees 

  • Be a collaborative leader with the ability to be a team player and communicate effectively

Compensation and rewards

  • The salary range for this role is $268,000 - $324,000. When determining your salary, we consider your experience, skills and education and work location.

  • Our total compensation package includes unlimited personal time off, an employee stock purchase plan, and a reward system. 

  • We also offer medical/dental benefits, and a company matching 401(k) plan for retirement.
